C-SPEF is a monthly subscription and quarterly tender offer fund specifically designed for accredited high-net-worth investors.

C-SPEF seeks to deliver long-term capital appreciation. Strategically the fund aims for attractive absolute and risk-adjusted returns, diversification, and the opportunity for more liquidity than traditional private equity funds through investments in secondaries.

The fund offers monthly subscriptions and quarterly redemptions, a lower minimum than traditional private market investments, and 1099 tax reporting.

C-SPEF is available to accredited U.S. taxable, ERISA and tax-exempt investors.

C-SPEF accepts subscriptions monthly with 5 business days’ notice.

Quarterly, however, there are limitations on the number of repurchases Coller Capital may make in a quarter, and we may choose to repurchase only some, or even no shares submitted for repurchase. Shares are not listed on any securities exchange, and it is not anticipated that a secondary market for Shares will develop. Shares are subject to limitations on transferability, and liquidity will be provided only through limited repurchase offers.

Although C-SPEF may offer to repurchase Shares from time to time, Shares will not be redeemable at an investor’s option nor will they be exchangeable for shares of any other fund. As a result, an investor may not be able to sell or otherwise liquidate his or her Shares. The Advisor intends to recommend that, in normal market circumstances, C-SPEF’s Board conducts quarterly repurchase offers of no more than 5% of C-SPEF’s net assets.

Interests in the Fund will be highly illiquid and subject to restrictions on transfer. Any tender offer or redemption by the Fund would have to be approved by its board of directors; it should, therefore, not be assumed that any such offer or redemption would happen at a particular time or at all. An investment in the Fund, unlike a traditional listed closed-end fund, should be considered illiquid. An investment in the Fund is appropriate only for investors comfortable with investing in less liquid or illiquid portfolio investments within an illiquid fund.
